Bayer/Monsanto merger gets CFIUS approval

The Committee on Foreign Investment in the United States (“CFIUS”) has completed its review of the proposed Bayer/Monsanto merger and found no unresolved national security concerns with respect to the transaction.

The acquisition is subject to customary closing conditions, including receipt of required regulatory approvals. Bayer and Monsanto will continue to cooperate with the authorities in order to complete the transaction in early 2018.

CFIUS is an inter-agency committee authorized to review the national security implications of foreign investments in U.S. companies or operations. Led by the United States Secretary of the Treasury, CFIUS includes representatives from 16 U.S. departments and agencies, including the Defense, State, and Commerce departments, as well as the Department of Homeland Security.
